Stek represents ABN AMRO in acquisition finance Kinderopvang Combiwel

ABN AMRO Bank N.V. has financed the acquisition of Kinderopvang Combiwel by Catalpa N.V. Kinderopvang Combiwel is a professional child care organisation with almost 50 centres in greater Amsterdam. The existing credit and security documentation between ABN AMRO and B4Kids (see also recent developments 2009-02 "Stek represents ABN AMRO") has been amended and extented for purposes of this transaction.

Stek represents sellers in sale of Rekenmeesters to Randstad

2009-11
The original founders and shareholders of Rekenmeesters have sold their remaining participation to Randstad subsidiary Yacht. Rekenmeesters provides financial, actuarial and pension staffing and recruitment services. As of 1 April 2010 Rekenmeesters and Yacht will continue their operations under the Yacht name.

Stek successful again for Liander in dispute with magnet lab

2009-10
Stek successfully represented Liander as defendant in the first instance and in appeal in a highly publicized preliminary relief proceeding initiated by CVIM, the operator of the High Field Magnet Laboratory. The president of the Arnhem district court ruled on 11 February 2009 inter alia that Liander can not be obliged to apply a lower transport tariff than the regulated maximum tariff. Stek successful for Stedin in civil appeal proceedings against Gemeente De Ronde Venen

2009-09
Stek has successfully represented N.V. Stedin Netten Utrecht and Stedin B.V. (‘Stedin’) in civil appeal proceedings before the Court of Appeal in Amsterdam in a dispute with municipality De Ronde Venen (Gemeente De Ronde Venen) regarding the termination of contracts relating to the repositioning of cables and pipes in the grounds of the municipality. In its ruling of 15 September 2009 the Court of Appeal has determined that these contracts could only be terminated by the municipality in case of a sufficiently important ground for termination. In this case, not enough proof was presented to establish the presence of a sufficiently important ground for termination. The Court of Appeal has therefore ruled that that the termination of the contracts by the municipality has been without effect and without any legal consequence. AfricInvest invests in Reef Group

AfricInvest Capital Partners has acquired a minority equity stake in timber company Reef Group. AfricInvest is a venture capital/private equity fund focussed on investments in Africa. Reef Group is a Dutch timber group with large Forest Stewardship Council (FSC) certified concessions in Cameroon.

Stek advises Belimed B.V. in its acquisition of Sanamij B.V.

Stek advised Belimed B.V., a company forming part of the Belimed Group (www.belimed.com), in respect of the acquisition of Sanamij B.V. Both companies are active in the field of producing and trading disinfection and sterilisation systems for the pharmaceutical industry and healthcare. Through the acquisition Belimed will become the biggest provider of cleaning and sterilisation technology in the Dutch market in the medicine, pharmaceutical and laboratory sectors. Stek successful for Liander in civil proceedings regarding general conditions

Stek has successfully represented Liander in civil proceedings before the district court of 'S-Gravenhage regarding the annulment of a decision of de Geschillencommissie Energie en Water. New HBU II N.V. has financed Fortis Private Equity in its acquisition of TurboNed. TurboNed is a Netherlands-based turbocharger service company with an international client base (www.turboned.com).

Stek successful for DELTA Energy and DELTA Pipe in appeal before the Dutch Trade and Industry Appeals Tribunal

Stek has successfully represented DELTA Energy and DELTA Pipe in an appeal procedure before the Dutch Trade and Industry Appeals Tribunal (CBb) against the NMa decision of 15 February 2007. With this decision, the NMa had imposed a binding instruction on Zebra Gasnetwerk which – in short – forced Zebra Gasnetwerk to make any excess gas transmission capacity available for third market parties. In its decision of 20 July 2009 the CBb has annulled the NMa decision on the basis that, among others, the NMa decision is not in agreement with Regulation (EC) nr. 1775/2005 and the Dutch Gas Act. Stek has assisted Evides Industriewater B.V. (EIW) and N.V. Waterleiding Maatschappij Limburg (WML) in obtaining second phase merger clearance for their joint venture Evilim. Bol.com is the leading online book, media and consumer electronics retailer and the largest internet shop in the Netherlands.

EBRD boosts role of private industry in east European water sector

2009-05
The European Bank for Reconstruction and Development (EBRD) is investing up to EUR 80 million equity to help raise the quality of water supply and waste water operations across Eastern Europe. The EBRD is buying a stake in Aqualia New Europe, a Dutch company set up to invest in water concessions and acquire other privately-held water groups in the EBRD region. Aqualia, a subsidiary of Spanish group FCC, will be the majority shareholder.

The Netherlands Competition Authority ('NMa') recently carried out unannounced inspections at the premises of Mourik Groot-Ammers Rayon Zuid B.V. and four other undertakings active in the building and construction sector in the Netherlands on grounds that the companies concerned may have violated the competition provisons, such as pricefixing and marketsharing.
